Our Agreement

The following terms and conditions are the only terms that govern the provision of services by EMS Compliance, LLC ("EMS Compliance") to the undersigned Organization ("Customer").

Services

EMS Compliance will provide the following services to Customer (the "Services"):

  • Access to our Comprehensive Healthcare Compliance Solution that allows us to work together to create an effective compliance program tailored to your size and needs.
  • Annual review of your compliance policies and procedures. 
  • An annual minimum of 2 compliance webinars available to your staff to keep you current on changing EMS compliance issues.
  • Monthly access to the EMS Compliance Hotline where your compliance questions are answered live by our national EMS Compliance experts.  Calls to the Compliance Officer Hotline are limited in scope and nature to one or more of the following topics:
    • Questions related to federal legal, regulatory, and policy requirements, including, but not limited to:
    • The structure, operation, and implementation of effective corporate compliance programs or how to address specific compliance issues;
    • Billing/reimbursement rules;
    • Anti-Kickback Statute;
    • HIPAA privacy and security; and 
    • Federal statutory provisions relevant to the healthcare and EMS industry that would include the False Claims Act.

Customer Understands and Acknowledges:

  • As a part of the Services under this Agreement, I will be able to access the EMS Compliance Hotline and I acknowledge that EMS Compliance, LLC is not a law firm and is not providing legal advice.  I understand that certain inquiries may exceed the scope of the Compliance Officer Hotline consultations and, in such an event, EMS Compliance will advise us to seek legal services under a separate engagement. Examples of these types of inquiries include, but are not limited to:
  • Inquiries that require legal research, analysis, or written work product;
  • Inquiries involving topics not listed above;
  • Inquiries involving advice that requires specialized legal knowledge of state or local law, employment and labor law, tax law (including employee benefits), intellectual property, real estate law, or is otherwise beyond the scope of our professional competencies.

Agreement on Intellectual Property.

All intellectual property rights in and to all documents and other materials that are delivered to Customer shall be owned by EMS Compliance. EMS Compliance hereby grants Customer a license to use all Intellectual Property Rights free of additional charge and on a non-exclusive, worldwide, non-transferable, non-sublicenseable, fully paid-up, royalty-free and perpetual basis to the extent necessary to enable Customer to make reasonable use of the Deliverables and the Services.

Our Representation and Warranty.

EMS Compliance represents that the Services provided under this Agreement are designed to provide the Customer with the framework and fundamentals of a Corporate Compliance Program as set out by the Office of the Inspector General to the United States Department of Health and Human Services.  EMS Compliance represents and warrants to Customer that it shall perform the Services using personnel of required skill, experience and qualifications and in a professional and workmanlike manner in accordance with generally recognized industry standards for similar services and shall devote adequate resources to meet its obligations under this Agreement.

In the event Customer is not satisfied with our Services, EMS Compliance shall, in its sole discretion, either:

  1. repair or re-perform such Services (or the defective part); or
  2. credit or refund the price of such Services at the pro rata contract rate.

THESE REMEDIES SHALL BE THE CUSTOMER'S SOLE AND EXCLUSIVE REMEDY AND EMS COMPLIANCE'S ENTIRE LIABILITY FOR ANY BREACH OF THIS LIMITED WARRANTY. EMS COMPLIANCE MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE CUSTOMER AND THE CUSTOMER’S EMPLOYEES MAINTAINING COMPLIANCE WITH APPLICABLE LAW AND REGULATIONS. 

Term and Termination.

This agreement is for an initial one year term and will automatically renew for one year terms until terminated by either party.  However, I may terminate this agreement at any time and for any reason by submitting notice in writing to Admin@emscompliance.com or by calling (866) 557-8223 and select Option 2 – Customer Support.  I will receive a refund of the portion of my advance based on the number of months of the subscription that have elapsed.

Similarly, EMS Compliance, LLC may terminate this engagement at any time by submitting notice in writing to the email address associated with your account. Should the engagement terminate early, Customer will receive a refund of any advance payment based on the number of months of the subscription that have elapsed.

This Agreement may only be amended or modified in writing.
